WEBSITE TERMS AND CONDITIONS AND WHOLESALE SALES AGREEMENT
Effective date: August 3, 2026
These Terms and Conditions govern the use of www.oururbanhomestead.com, purchases from Our Urban Homestead LLC, and wholesale transactions with Our Urban Homestead LLC.
By accessing our website, placing an order, accepting delivery, signing a wholesale application, or otherwise purchasing our products, you agree to these Terms and Conditions. If you do not agree, please do not use the website or place an order.
1. Business Information
“Our Urban Homestead,” “we,” “us,” and “our” refer to Our Urban Homestead LLC, a Florida limited liability company.

2. Eligibility and Authority
You must be at least 18 years old and legally capable of entering into a binding agreement to place an order.
If you place an order on behalf of a business, you represent that you are authorized to bind that business to these Terms and Conditions. The business purchasing the products is responsible for all orders placed by its owners, employees, representatives, or authorized buyers.
3. Products
Our Urban Homestead grows and supplies fresh microgreens, microgreen blends, live-growing products, and related agricultural products.
Because our products are naturally grown and harvested, color, size, texture, flavor, appearance, weight, and availability may vary slightly. These natural differences are not considered product defects.
Product descriptions and photographs are provided for general informational purposes. We make reasonable efforts to display our products accurately, but photographs may not represent the exact appearance of every harvested product.
4. Product Availability and Substitutions
All products are subject to availability, growing conditions, harvest schedules, quality standards, crop performance, weather, and circumstances outside our reasonable control.
We reserve the right to:
Limit the quantity of any product;
Decline or cancel an order;
Discontinue products;
Adjust harvest or delivery dates; or
Offer a comparable substitution.
We will attempt to obtain the customer’s approval before making a material substitution. If an acceptable substitution is unavailable, we may issue a refund or credit for the unavailable product.
5. Prices, Taxes, and Charges
Prices are displayed or quoted in U.S. dollars and may change without advance notice. The price applicable to an order is the price confirmed when the order is accepted, unless there is an obvious pricing or calculation error.
Customers are responsible for applicable sales taxes, delivery charges, special-order charges, processing fees, and other charges disclosed before the order is completed.
Wholesale prices are confidential business pricing intended only for approved wholesale customers. Wholesale customers may not publish or distribute our wholesale price lists without written authorization.
6. Retail Payments
Unless another arrangement is approved in writing, retail orders must be paid in full when the order is placed and before the products are delivered or picked up.
We may delay harvesting, preparation, pickup, or delivery until payment has been successfully processed.
7. Wholesale Credit and Payment Terms
Wholesale credit is offered at the discretion of Our Urban Homestead LLC and may be changed, suspended, or withdrawn based on payment history, order activity, creditworthiness, or other reasonable business considerations.
Introductory 60-Day Period
During the first 60 calendar days of an approved wholesale relationship:
Wholesale orders will generally be invoiced every two weeks;
Each invoice is due in full within 14 calendar days of the invoice date, commonly referred to as Net 14;
The introductory period begins on the date of the customer’s first wholesale delivery; and
Net 30 terms are not automatic.
Our Urban Homestead may require advance payment, payment upon delivery, a deposit, or a valid payment method during the introductory period.
Established Credit
After the introductory 60-day period, a wholesale customer may be approved for Net 30 terms based on satisfactory payment history and credit approval.
Net 30 means that the full invoice balance is due within 30 calendar days of the invoice date. Net 30 terms become effective only after Our Urban Homestead provides written confirmation of approval.
Until written Net 30 approval is provided, Net 14 or other previously assigned payment terms remain in effect.
Credit Review
We may request a completed credit application, business references, resale documentation, tax information, identification, or other reasonable information before extending credit.
Credit limits and payment terms may be reviewed periodically. We reserve the right to require immediate payment or place an account on prepaid status if invoices become overdue.
8. Past-Due Accounts
An invoice is past due if full payment is not received by the stated due date.
For overdue accounts, Our Urban Homestead may:
Suspend future harvesting, production, delivery, or order fulfillment;
Place the account on advance-payment or payment-on-delivery status;
Withdraw credit privileges;
Cancel pending orders;
Apply lawful late charges disclosed on the invoice or credit agreement; and
Use lawful collection procedures.
The customer is responsible for reasonable collection costs, court costs, and attorneys’ fees to the extent permitted by law and awarded or enforceable under an applicable written agreement.
Acceptance of a late or partial payment does not waive our right to collect the remaining balance or enforce these Terms.
Claims concerning a product or delivery do not permit a customer to withhold payment for unrelated or undisputed invoices.
9. Orders and Order Acceptance
Submitting an order does not guarantee acceptance. An order is accepted when we provide confirmation, begin preparing or harvesting the order, issue an invoice, or deliver the products.
Customers are responsible for reviewing order confirmations and promptly reporting errors.
We may establish minimum order quantities, delivery minimums, wholesale case quantities, standing-order requirements, or minimum purchase amounts.
10. Standing and Recurring Orders
A standing or recurring order remains active until it is changed or canceled according to the applicable order deadline.
Customers are responsible for all products grown, harvested, or prepared for a standing order unless the order is canceled before the stated cutoff time.
Temporary suspensions, vacation holds, quantity changes, and cancellations must be submitted in writing and confirmed by Our Urban Homestead.
11. Order Changes and Cancellations
Because our products may be grown, harvested, and packaged specifically for an order, changes and cancellations must be received before harvesting or preparation begins.
Orders canceled after harvesting, packaging, or preparation has started may be nonrefundable. Special orders, custom blends, custom labels, and products grown specifically for a customer may require a deposit and may not be canceled after production begins.
12. Delivery and Pickup
Delivery dates and times are estimates and are not guaranteed. Delivery may be affected by weather, traffic, crop conditions, mechanical problems, emergencies, or other circumstances outside our reasonable control.
The customer is responsible for:
Providing a correct delivery address;
Ensuring that an authorized person is available to receive the order;
Providing safe and reasonable access to the delivery location;
Inspecting products promptly; and
Refrigerating products immediately after receipt.
If no one is available to accept a scheduled delivery, we may leave the order in a reasonably safe location when authorized. Responsibility for the product transfers to the customer when the order is delivered to the designated location or accepted at pickup.
Additional charges may apply for an unsuccessful delivery attempt, redelivery, address correction, or delivery outside our regular service area.
13. Inspection and Product Claims
Wholesale customers must inspect products at the time of delivery or pickup.
Any shortage, incorrect item, damaged packaging, spoilage, contamination concern, or quality issue must be reported to orders@oururbanhomestead.com within 24 hours of delivery or pickup.
A claim should include:
The customer’s name or business name;
Invoice or order number;
Delivery or pickup date;
Product name and quantity affected;
Description of the concern; and
Clear photographs of the product, packaging, and label.
Customers must retain the affected product, packaging, label, and lot information until we provide instructions.
Failure to report a reasonably observable issue within 24 hours may result in denial of the claim.
14. Perishable-Product Return Policy
Because microgreens and related products are perishable food products, all sales are final, and physical returns generally cannot be accepted.
If a timely and valid claim is approved, Our Urban Homestead may provide, at its discretion:
A replacement;
A credit toward a future order; or
A refund for the affected product.
Credits and refunds apply only to the product affected by the verified issue and do not ordinarily include unrelated products, lost profits, lost sales, labor, or other indirect expenses.
Products are not eligible for replacement, credit, or refund if they were:
Improperly refrigerated;
Left unattended or unrefrigerated after delivery;
Mishandled, repackaged, altered, or contaminated after receipt;
Stored beyond their recommended shelf life;
Resold before the claim was submitted;
Damaged through customer handling; or
Otherwise stored contrary to the provided instructions.
Nothing in this section limits any rights that cannot lawfully be excluded.
15. Storage, Handling, and Food Safety
Microgreens are fresh and highly perishable. Customers must refrigerate cut microgreens promptly and follow all storage, handling, sanitation, rotation, and use-by instructions.
Wholesale customers are responsible for maintaining appropriate refrigeration and food-handling practices after delivery. Wholesale customers are also responsible for complying with laws and regulations applicable to their storage, display, resale, preparation, labeling, and service of the products.
If a customer suspects a food-safety concern, the customer must:
Stop using, serving, or selling the affected product;
Separate and refrigerate the product;
Preserve the packaging, label, and lot information; and
Contact Our Urban Homestead immediately.
16. Allergies and Individual Dietary Concerns
Our products are agricultural food products. Customers are responsible for reviewing product information and determining whether a product is appropriate for their individual dietary needs or those of their customers.
Cross-contact may be possible in growing, harvesting, packing, delivery, retail, restaurant, or home environments. Customers with severe allergies or specific medical concerns should consult an appropriate healthcare professional before consuming a product.
Information on our website is provided for general educational and marketing purposes and is not medical advice. Our products are not intended to diagnose, treat, cure, or prevent any disease.
17. Resale and Wholesale Customer Responsibilities
Wholesale customers agree to:
Store products at appropriate temperatures;
Follow reasonable stock-rotation and sanitation practices;
Preserve product labels and traceability information;
Avoid making unauthorized health, organic-certification, nutritional, or therapeutic claims;
Avoid altering or misrepresenting Our Urban Homestead branding;
Comply with applicable food-safety, labeling, and resale requirements; and
Notify us promptly of a complaint, illness report, recall notice, or suspected contamination involving our products.
The wholesale customer is responsible for the product after delivery, except for a defect or nonconformity that existed when the product was delivered and was reported according to these Terms.
18. Resale Certificates and Tax Documentation
Wholesale customers claiming a tax exemption must provide a current and valid resale certificate or other required documentation.
The customer is responsible for taxes, penalties, or charges resulting from expired, inaccurate, or invalid exemption documentation.
19. Website Accounts and Security
Customers are responsible for keeping account credentials secure and for activity conducted through their accounts.
You must notify us promptly if you believe an account or payment method has been accessed without authorization. We may suspend or terminate an account to protect the customer, our business, or other users.
20. Acceptable Website Use
You may not:
Use the website for unlawful or fraudulent purposes;
Attempt to interfere with the website’s operation or security;
Introduce malicious software or harmful code;
Collect information about other users without authorization;
Copy website content for commercial use without permission;
Misrepresent your identity or authority; or
Place fraudulent, speculative, or unauthorized orders.
We may restrict or terminate access for conduct that violates these Terms.
21. Intellectual Property
The Our Urban Homestead name, logo, photographs, labels, product descriptions, graphics, website design, written materials, and other original content are owned by or licensed to Our Urban Homestead LLC.
No content may be copied, altered, distributed, sold, published, or used commercially without prior written permission, except as permitted by law.
Approved wholesale customers may use authorized product images and marketing materials solely to promote genuine Our Urban Homestead products during the active wholesale relationship.
22. Third-Party Services and Links
Our website may use or link to third-party services, including payment processors, delivery services, social media platforms, or external websites.
We are not responsible for the content, availability, privacy practices, security, or performance of third-party services. A customer’s use of a third-party service may be governed by that provider’s separate terms.
23. Disclaimer of Warranties
We work to provide fresh, accurately described, high-quality products. However, to the fullest extent permitted by law, the website and its content are provided on an “as available” basis.
We do not guarantee uninterrupted website access, constant product availability, identical crop appearance, or results from consuming or reselling a product.
Nothing in these Terms excludes warranties or protections that cannot lawfully be waived.
24. Limitation of Liability
To the fullest extent permitted by law, Our Urban Homestead LLC will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, including lost profits, lost sales, business interruption, or loss of goodwill.
To the fullest extent permitted by law, our total liability arising from a particular order will not exceed the amount paid or payable for the product giving rise to the claim.
These limitations do not apply where prohibited by law or to liability that cannot legally be limited.
25. Indemnification
To the extent permitted by law, a business customer agrees to defend, indemnify, and hold harmless Our Urban Homestead LLC and its owners, employees, and representatives from third-party claims arising from the customer’s improper storage, handling, repackaging, relabeling, resale, advertising, or unauthorized representations concerning the products.
This provision does not require a customer to indemnify Our Urban Homestead for our own unlawful conduct, gross negligence, or willful misconduct.
26. Events Outside Our Control
We are not responsible for delays or failure to perform caused by events beyond our reasonable control, including severe weather, crop failure, pests, utility interruptions, supply shortages, transportation disruptions, government actions, public-health emergencies, equipment failure, labor disruptions, or natural disasters.
We will make reasonable efforts to notify affected customers and offer an appropriate adjustment, substitution, credit, or refund when warranted.
27. Electronic Communications and Acceptance
You consent to receiving order confirmations, invoices, notices, and business communications electronically at the email address or telephone number you provide.
Clicking an acceptance box, submitting an online order, approving an invoice, signing electronically, or continuing to order after receiving these Terms may constitute electronic acceptance to the extent permitted by law.
28. Privacy
Our collection and use of personal information are governed by our Privacy Policy. Customers should review that policy before submitting personal, payment, or business information through the website.
29. Governing Law and Venue
These Terms and all purchases from Our Urban Homestead LLC are governed by the laws of the State of Florida, without regard to conflict-of-law principles.
Unless applicable law requires otherwise, legal proceedings arising from these Terms or a transaction with Our Urban Homestead LLC must be brought in a court of competent jurisdiction located in Seminole County, Florida.
Before filing a legal action, the parties agree to make a good-faith effort to resolve the dispute through direct written communication.
30. Changes to These Terms
We may revise these Terms periodically. Revised Terms become effective when posted on the website or otherwise provided to the customer, unless a later effective date is stated.
Changes will not retroactively alter payment obligations or other material terms of an accepted order unless both parties agree.
31. Severability and Waiver
If any part of these Terms is found unenforceable, the remaining provisions will continue in effect.
Our failure to enforce a provision on one occasion does not waive our right to enforce it later.
32. Entire Agreement and Order of Priority
These Terms, together with an accepted order, invoice, credit application, Return Policy, Privacy Policy, Delivery Policy, and any written wholesale agreement, constitute the agreement between the parties concerning the transaction.
If documents conflict, the following order generally applies:
A separately signed written agreement;
An accepted order or written quotation;
The applicable invoice;
These Terms and Conditions; and
Other website policies.
A customer’s purchase order or internal document does not modify these Terms unless Our Urban Homestead expressly accepts the modification in writing.

By signing below, submitting a wholesale application, checking an online acceptance box, placing a wholesale order, or accepting products, the customer acknowledges that it has reviewed and agrees to these Terms and Conditions.

Florida law generally makes payment due upon receipt of goods unless the parties agree to different credit terms, which is why the Net 14 and Net 30 provisions should appear on the wholesale application, invoices, and order confirmations—not only on the website. Florida also recognizes electronic records and signatures when parties agree to conduct transactions electronically. Florida Statutes §672.310 and Florida Statutes §668.50.
